Hindustan Coca-Cola Holdings (HCCH), the parent entity of Coca-Cola’s Indian bottling arm Hindustan Coca-Cola Beverages (HCCB), has filed draft papers for an initial public offering that is entirely an offer for sale, Mint reported. The offering covers up to 99.75 crore equity shares held by promoter Hindustan Coca-Cola Overseas Holdings Pte Ltd, and no price band or issue size has been disclosed.
Because the issue carries no fresh issuance, HCCH itself receives no proceeds; the entire amount goes to the selling shareholder, BusinessLine reported, noting the draft red herring prospectus is dated November 6. Mint put the majority holder’s pre-sale stake at 60% and said it would fall to around 45% after the share sale.

Key facts
- The IPO is a pure offer for sale of up to 99.75 crore shares by Hindustan Coca-Cola Overseas Holdings, with HCCH receiving nothing.
- The promoter’s holding of 60% is set to decline to roughly 45%; Jubilant Beverages, which holds the remaining 40%, will not participate.
- The DRHP, which BusinessLine dates to November 6, cites the TKC Report in naming HCCH the largest non-alcoholic ready-to-drink beverage company by revenue operating exclusively in India in FY26.
- HCCH reported revenue from operations of ₹4,310.17 crore for the quarter ended June 30, 2026, up 20.46% year on year, with sales volume up 18.61%.
- The issue is managed by Kotak Mahindra Capital, Citigroup Global Markets India, JP Morgan India, Morgan Stanley India, Axis Capital, Goldman Sachs (India) Securities and IIFL Capital Services, with KFin Technologies as registrar.
Scale of the bottling network
As of June 30, 2026, HCCH’s portfolio comprised 41 beverages, including Coca-Cola, Thums Up, Sprite and Maaza, spanning sparkling drinks, hydration products and still beverages such as juices. The company operates in 10 states and four Union Territories, mostly in southern and western India, and its distribution reached about 1.7 million retail outlets through 2,273 distributors as of that date.
HCCH was also the biggest bottler within the Coca-Cola system in India by concentrate volume sold, according to the TKC Report cited in the DRHP. The filing follows Coca-Cola’s June statement that it was exploring a listing of the entity in 2027 — a plan that has now moved into the regulatory queue.

The listing sits within Coca-Cola’s asset-light strategy of divesting bottling assets. In 2024 the company franchised operations in Rajasthan, Bihar, the Northeast and parts of West Bengal to existing bottlers, realising $290 million, or about ₹2,420 crore. Those franchises went to Kandhari Global Beverages, SLMG Beverages and Moon Beverages. Coca-Cola operates in India through Coca-Cola India and HCCB, which was incorporated in February 1997, is headquartered in Bengaluru and runs 14 bottling plants. India is Coca-Cola’s fifth-largest market globally.
Why it matters
The filing adds a large consumer-franchise asset to a queue of multinationals monetising Indian holdings through the equity market instead of raising fresh capital — a route that offloads shares to public investors while leaving the underlying business unchanged. For HCCH, the sale would bring in outside shareholders and reduce the Coca-Cola side’s control, though the promoter group keeps a majority of about 85% between the two holders. Separately, Jubilant Beverages only became a promoter in July 2025, so its absence from the sale leaves its 40% position intact.
What to watch
Next come Sebi’s observations on the DRHP and, after that, the price band and issue size, neither of which appears in the draft papers. Investors will also track how the 2027 listing timetable set out by Coca-Cola in June holds against the regulatory process.
