Mahanadi Coalfields Ltd, a Coal India subsidiary and the parent group’s largest coal-producing unit, has been cleared by the Securities and Exchange Board of India to proceed with its planned initial public offering. Sebi issued its final observations on the company’s draft offer documents on November 4, Mint reported.

The approval puts the coal miner on course for a listing in the second half of November or early December, according to Mint, which cited PTI reporting that relied on unnamed sources. Bloomberg, also citing people familiar with the matter, said Coal India is preparing to bring the sale to market as early as this month; investor meetings have reportedly begun.

Key facts

  • Sebi’s final observations on the Mahanadi Coalfields draft papers came on November 4, according to PTI, as cited by Mint.
  • The offering is a pure offer for sale of up to 66,18,36,300 equity shares held by Coal India, or up to 661.8 million shares, according to BusinessLine.
  • Bloomberg reported the IPO could raise up to $1 billion, about ₹8,800 crore, and value the company at as much as $10 billion.
  • Mahanadi Coalfields filed its draft red herring prospectus with Sebi in September, and Coal India flagged in March that it could sell up to 25% of Mahanadi Coalfields and South Eastern Coalfields through IPOs or other routes, BusinessLine reported.
  • SBI Capital Markets, Axis Capital, BOB Capital Markets, IDBI Capital Markets & Securities and IIFL Capital Services are book-running lead managers, and the shares are proposed for listing on both BSE and NSE.

Output and financials behind the listing

Incorporated in 1992, Mahanadi Coalfields is the biggest coal-producing arm of Coal India. A CRISIL report cited in the draft prospectus puts its FY26 output at 218.31 million tonnes, equal to roughly 22.4% of India’s non-coking coal production and about 28% of Coal India’s own output during that year.

BusinessLine, however, reported that Mahanadi Coalfields accounted for 21% of India’s overall domestic coal production in fiscal 2026 and 28.4% of Coal India’s total. The two outlets also give different figures for Coal India: BusinessLine said the parent contributed about 74% of national coal production in fiscal 2026, while Mint said Coal India accounts for more than 80% of domestic output.

As of June 30, 2026, the company ran 17 mines — 14 opencast and three underground. Revenue from operations for the quarter ended June 2026 was ₹8,034 crore, up from ₹7,548.3 crore a year earlier, while net profit slipped marginally to ₹2,399 crore from ₹2,448.3 crore.

Because the issue is structured entirely as an offer for sale, Mahanadi Coalfields itself receives nothing from the transaction; the proceeds go to Coal India as the selling shareholder.

Why it matters

The listing gives public-market investors direct exposure to one of India’s largest coal producers and hands Coal India capital it can deploy at the parent level. It also fits a stated pattern: Coal India has said it may sell down stakes in subsidiaries to draw value out of them through the capital markets, and Mahanadi Coalfields is the first of two named candidates. BusinessLine noted a busy year for Indian listings, pointing to offerings by Jio Platforms and the National Stock Exchange of India as evidence of demand for large issues, which makes Mahanadi Coalfields a test of how investors price a state-linked coal asset on its own.

What to watch

The next concrete step is the opening of the offer, which Mint reported is expected in the second half of November or early December, with Bloomberg suggesting this month. Coal India’s earlier signal that it could sell up to 25% of Mahanadi Coalfields suggests a possible follow-on sale, but the current draft provides only for the offer for sale of the shares disclosed.
